Terms of Service

1. Acceptance of terms

By creating an account or using Replyve ("the Service"), you agree to these Terms of Service and our Privacy Policy. If you do not agree to these terms in their entirety, do not create an account or use the Service.

These terms constitute a legally binding agreement between you and Replyve ("we", "us", "our"), built and operated in Pakistan.

2. What Replyve provides

Replyve is an AI-powered tool that generates draft responses to customer reviews from platforms such as Google, Yelp, and Trustpilot. The Service is provided on an "as is" basis. Generated replies are suggestions only — you are solely responsible for reviewing, editing, and deciding whether to publish them.

We do not guarantee continuous, uninterrupted availability of the Service. We may modify, suspend, or discontinue any part of the Service at any time with reasonable notice where possible.

3. Your account

• You must provide a valid email address to create an account.
• You are responsible for maintaining the confidentiality and security of your account credentials. Any activity that occurs under your account is your responsibility.
• You must be 18 years or older to use the Service.
• One person or legal entity may not maintain more than one free account.
• You must notify us immediately at [email protected] if you suspect unauthorised access to your account.

4. Acceptable use

You agree not to use the Service to:

• Generate replies that are false, misleading, defamatory, harassing, threatening, abusive, or hateful toward any individual or group.
• Produce content that is harmful, dangerous, discriminatory, or that incites violence or illegal activity.
• Impersonate another person, business, or entity, or misrepresent your affiliation with any person or organisation.
• Respond to reviews on behalf of a business you do not own or are not authorised to represent.
• Attempt to reverse-engineer, scrape, decompile, or abuse the API or underlying AI infrastructure.
• Circumvent usage limits, rate limits, or access controls.
• Resell, sublicense, or commercially exploit the Service or its output without prior written permission from Replyve.
• Violate any applicable law, regulation, or third-party platform policy (including Google, Yelp, and Trustpilot guidelines).
• Use the Service for any purpose other than responding to genuine customer reviews of your own business.
• Introduce malicious code, viruses, or any software intended to damage or interfere with the Service or its users.

We reserve the right to suspend or terminate access immediately and without notice if we determine, at our sole discretion, that your use violates any of the above.

5. Plans and billing

• Free plan — 10 AI replies per month at no cost. No credit card required.
• Paid plans — billed monthly in advance via Stripe. Plans auto-renew at the end of each billing period unless cancelled.
• Price changes — we will notify you by email at least 30 days in advance of any price changes. Continued use after the effective date constitutes acceptance of the new price.
• Failed payments — if a payment fails, we may downgrade your account to the Free plan until payment is resolved.

6. Right to cancel

Cancellation by you: You may cancel your paid subscription at any time through your billing portal. Cancellation takes effect at the end of the current billing period. No refunds are issued for partial months already paid.

Cancellation by us: We may cancel your subscription at any time if you materially breach these terms. In such cases, no refund will be issued for the remaining period.

Geographic availability: The Service is available only to users located in the United States or Canada. By creating an account, you represent and warrant that you are physically located in one of these countries. If your location changes, you must stop using the Service. Accounts found to be in violation may be terminated without refund.

7. Intellectual property

Our property: The Replyve name, logo, website design, codebase, and all related intellectual property are owned by or licensed to Replyve.

Your content: You retain full ownership of the review text you submit and the AI-generated replies produced for your use. By using the Service, you grant Replyve a limited, non-exclusive, royalty-free licence to process your content solely as necessary to provide the Service to you.

No AI training: We do not use your submitted review content or generated replies to train, fine-tune, or improve any AI model.

8. Disclaimer of warranties

To the fullest extent permitted by applicable law, the Service is provided "as is" and "as available" without warranties of any kind. You are solely and entirely responsible for reviewing every generated reply before publishing it.

9. Limitation of liability

To the maximum extent permitted by applicable law, Replyve shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or related to your use of the Service.

For all other claims, our total aggregate liability to you shall not exceed the lesser of: (a) the total fees you paid to us in the thirty (30) days immediately preceding the event, or (b) fifty US dollars ($50.00 USD).

Exceptions: Nothing in these terms limits or excludes our liability for: (i) death or personal injury caused by our negligence; (ii) fraud or fraudulent misrepresentation; (iii) intentional misconduct (Vorsatz) or gross negligence (grobe Fahrlässigkeit); (iv) violations of data protection law; or (v) any other liability that cannot be limited or excluded under applicable German law (§§ 309–310 BGB).

10. Indemnification

You agree to defend, indemnify, and hold harmless Replyve and its owners, employees, contractors, and agents from and against any claims, liabilities, damages, losses, costs, and expenses arising out of or in connection with your use of or access to the Service, your violation of these Terms, or any content you submit or publish via the Service.

11. Third-party services

The Service relies on the following sub-processors, each bound by a Data Processing Agreement (DPA) with Replyve:

• Anthropic (USA) — AI reply generation. Review text you submit is sent to Anthropic's API solely to generate your replies. Data transfer basis: Standard Contractual Clauses (SCCs).
• Supabase (USA / EU) — authentication and database hosting. Data transfer basis: SCCs / EU region where available.
• Stripe (USA) — payment processing for paid plans. Data transfer basis: EU–US Data Privacy Framework and SCCs.
• Resend (USA) — transactional email delivery (password reset, account confirmation). Data transfer basis: SCCs.

Replyve is not responsible for the availability or independent actions of any third-party service. We do not sell your data to any third party.

12. Termination

We may suspend or terminate your account immediately if you violate these terms. You may delete your account at any time. Upon termination, your right to use the Service ceases immediately.

13. Changes to these terms

We may update these terms from time to time. We will notify you by email at least 14 days before material changes take effect. Continued use constitutes acceptance.

14. Governing law and disputes

These terms are governed by the laws of Germany. Any disputes shall first be attempted to be resolved through good-faith negotiation, then subject to the exclusive jurisdiction of the competent courts in Germany.
